About this role
In the role of Corporate Counsel, you will be responsible for:
- Negotiating documentation for a wide variety of:
- private transactions to purchase and/or sell private company interests (including familiarity with purchase agreements, convertible promissory notes, limited partnership agreements, limited liability company agreements, and investor rights agreements);
- private and public capital markets transactions, including PIPEs, SPACs, warrant purchases, and debt financings (including high yield and convertible notes);
- joint ventures;
- licensing and technology transactions; and
- credit facilities
- Providing advice and insight for SPVs and other structures
- General corporate matters (e.g., board meetings, entity formation, drafting governance documents, resolutions, etc.)
- Reviewing and interpreting international, state and federal laws and regulations as well as perform research, provide insight and make recommendations based on best practices
- Working both independently and in a highly collaborative environment, with good judgment regarding when to escalate issues
- Reviewing and responding to legal inquiries raised by business units or departments
- Building interpersonal relationships with all levels the business in order to facilitate interdepartmental collaboration
QUALIFICATIONS:
In order to effectively represent BAM and communicate with clients, you must be someone who has:
- Excellent written and verbal communication skills as well as negotiation experience
- Practical experience with legal matters in financial services industry is preferred
- Strong transactional experience, including understanding of how various capital markets transactions are settled and traded
- Strong knowledge of securities laws and regulations, including understanding of the ’33 Act, the ’34 Act and the Nasdaq/NYSE listing rules is preferred
- The ability to coordinate with and effectively manage external legal counsel
- Desire to work collaboratively with the team
- Maintains a high standard of professionalism in all dealings with internal staff and any external partners, clients and regulatory agencies
- Problem solving skills and ability to identify and implement appropriate solutions
- The ability to prioritize and manage multiple tasks and projects concurrently to meet deadlines
- Consistent work ethic through hard work, confidence and effort
- Outstanding attention to detail and strong organization skills
EDUCATION, TRAINING & EXPERIENCE:
- JD and at least 3 years of combined legal experience at a law firm and/or in-house at hedge fund or private equity fund.
