Job Overview:

The Corporate Paralegal reports to the Counsel—Corporate Governance and supports the execution of corporate governance, board operations, and compliance processes.

 

 

Responsibilities

 

Board & Committee Administration

  • Prepare and distribute Board and committee materials
  • Manage board portal systems
  • Coordinate meeting logistics and schedules

SEC & Governance Support

  • Assist with proxy materials and governance disclosures
  • Support Section 16 filings and insider trading processes

Maintain governance records

  • Shareholder & Annual Meeting Support
  • Coordinate annual meeting logistics
  • Track shareholder proposals and materials

Governance Systems & Vendors

  • Coordinate with board portal providers and proxy vendors
  • Maintain governance systems and data accuracy

Tracking & Documentation

  • Maintain governance calendars and trackers
  • Support audits and document management

Total Rewards:
  • Salary Range: $70,500 - $105,000
  • Actual placement within the compensation range may vary depending on experience, skills, and other factors
  • Benefits, subject to election and eligibility: Medical, Dental, Vision, Disability, Paid Time Off (including paid parental leave, vacation, and sick time), 401k with company match, Tuition Reimbursement, and Mileage Reimbursement
  • Annual bonus based on performance and eligibility

Requirements:
  • Bachelor’s degree or equivalent required
  • Paralegal certification preferred
  • 3–6+ years paralegal or governance support experience
  • Experience supporting Board processes preferred
  • Strong administrative and organizational skills
