Overview At Gallagher, we help clients face risk with confidence, and that commitment starts with strong internal governance. The Corporate Governance Paralegal supports the in-house Legal Department with a primary focus on corporate governance, entity management, legal entity consolidation, and maintenance of corporate records. This position works closely with the Director, Legal Entity management, attorneys, and cross-functional business partners to help ensure accurate governance documentation, timely filings, and effective legal support across the organization. The ideal candidate is highly organized, detail-oriented, and able to manage multiple priorities in a fast-paced environment while handling confidential matters with discretion and professionalism. How you'll make an impact Maintain and organize corporate governance records, including bylaws, operating agreements, resolutions, written consents, officer appointments, dissolution, mergers and related documentation. Draft, review, format, and track routine governance documents, including resolutions, consents, certificates, plans of liquidation and other corporate records. Assist with entity formation, qualification, maintenance, restructuring, and dissolution matters. Maintain entity management databases and legal entity organizational charts. Track corporate governance deadlines, annual reports, state filings, and other compliance obligations. Coordinate with internal stakeholders, outside counsel, registered agents, and third-party service providers on governance matters. Support due diligence, audits, internal reporting, and corporate transactions as needed. Manage document organization, filing, and circulation for signature and retrieval within legal document management systems. Provide support on special projects and other Legal Department initiatives as assigned. About You Required: Associate's degree Paralegal certificate and 3 years litigation experience required. Thorough knowledge of legal concepts, legal terminology and jurisdictional litigation protocols for federal and state courts; electronic filing experience necessary. Highly Preferred: Bachelor's Degree 3–5 years of paralegal or legal support experience, in an in-house legal department, corporate legal environment or law firm with corporate governance experience. Experience supporting corporate secretarial functions and entity management preferred. Familiarity with corporate filings, governance documents, and organizational recordkeeping. Proficiency in Microsoft Office Suite; experience with GEMS entity management and AdobeSign software a plus.
